Board Meeting Requirements

Lesson 1: Board Meeting Requirements

Introduction
Board meetings are the primary venue where association business is conducted. Florida law establishes specific requirements for how these meetings must be conducted to ensure transparency and owner participation.

Types of Board Meetings
• Regular Board Meetings – Scheduled meetings that occur at predetermined times
• Special Board Meetings – Called for specific purposes outside the regular schedule
• Emergency Board Meetings – Called to address urgent matters that cannot wait for proper notice

Meeting Frequency Requirements
• In condominium associations with more than 10 units, the board must meet at least once each quarter
• HOA and cooperative boards should establish meeting frequency in their bylaws
• At least four times each year, meeting agendas must include an opportunity for members to ask questions of the board

Quorum Requirements
• A quorum of board members must be present to conduct official business
• Quorum is typically defined in the association’s bylaws
• Without a quorum, the board can only:
  – Adjourn the meeting
  – Take measures to obtain a quorum
  – Take emergency actions (in limited circumstances)

Meeting Location Requirements
• Meetings must be held at a location accessible to all owners
• For condominiums, meetings must be held on the condominium property unless:
  – The bylaws specify otherwise
  – It’s impractical or impossible to do so
